Nexperia BV Clarifies IT Governance Actions and Denies Impact on China Operations

On March 6, 2026, the management of Nexperia China issued a statement claiming that the company was unable to continue communication or resume production because “Nexperia BV had cut off IT access.” After conducting an internal review, Nexperia BV provides the following clarification:

1. Verification of the statement
We firmly reject the claims made by Nexperia China. The assertion that compliance with corporate IT governance and regulatory requirements prevented the delivery of finished goods is inaccurate and misleading.

2. Factual background
Beginning in the fourth quarter of 2025, the management of Nexperia China directed actions to separate the local IT environment in China from the global IT environment managed by Nexperia BV. These actions included, but were not limited to:

Creating unauthorized email accounts

Discontinuing the use of approved Nexperia.com email addresses

Introducing unapproved collaboration platforms

Removing hard drives from Nexperia-issued laptops

Migrating more than 100 PCs, laptops, and other production-related IT assets to non-Nexperia network domains

As a result, Nexperia China’s systems were moved outside the company’s governance, compliance, and cybersecurity framework. In response, Nexperia BV implemented IT protective measures in line with corporate policies, applicable regulations, and industry standards.

3. No adverse impact on production
No production systems were locked. Any incidental disruptions were resolved by Nexperia China within hours. Nexperia’s global IT team remains on standby to provide support to entities in China whenever required. Based on our assessment, the measures taken by Nexperia BV did not hinder Nexperia China’s ability to complete finished goods deliveries.

4. Responsibility for operational challenges
Attempts by Nexperia China to attribute its internal operational difficulties to Nexperia BV are unfounded.

5. Commitment to customers
We recognize the importance of continuity, transparency, and timely delivery for our customers. Protecting customer interests—including data security, supply stability, and clear communication—remains our highest priority. We will continue to take all reasonable steps to minimize business disruption. At the same time, we continue to call for meaningful and constructive dialogue with the management of Wingtech and Nexperia China to address the current challenges for the benefit of all stakeholders.
